DISCLAIMERS

• A. By registering as a buyer ("Buyer") with CarsOnline4u.com (CO4U) you agree to be bound by the following terms and conditions. CO4U reserves the right to amend these terms and conditions at any time without prior notice to the Buyer. Terms and conditions printed on auction lists, displayed on CO4U's Website at CarsOnline4u.com, become part of this agreement by reference.
• B. All vehicles or items sold through CO4U's auctions are sold "AS-IS, WHERE-IS", WITH NO WARRANTY, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY. CO4U expressly disclaims the accuracy or completeness of any and all information provided verbally, in writing, or in image form. This information includes, but is not limited to year, make, model, VIN, mileage, odometer disclosures, VIN, condition, damage and sale documents.
• C. CO4U does not guarantee that vehicles sold can be legally resold or transferred in any state or country. Buyers accept all risks associated with vehicle title and registration laws for all states and countries.
• D. It is the sole responsibility of Buyer to ascertain, confirm research, inspect, and/or investigate vehicles and items and all Vehicle Information prior to bidding on vehicles. CO4U does not guarantee that keys are available for any vehicle sold, regardless of whether keys are present in online vehicle images or were present in the vehicle prior to the time of purchase.
• E. I agree that CO4U vehicles and items are sold "AS-IS, WHERE-IS" and are not represented as being in a road-worthy condition, mechanically sound, or maintained at any guaranteed level of quality. These vehicles may not be fit for use as a means of transportation and may require substantial repairs at my expense.
• F. Buyers and their guests irrevocably and unconditionally waive and release their rights (if any) to recover from CO4U, its directors, officers, employees, representatives, agents, subsidiaries and affiliates any and all damages, losses, liabilities, cost or expenses and claims thereof, whether direct or indirect, known or unknown, foreseen or unforeseen, which may arrive from, or be related to, bodily injury, property damage, or other occurrence which occurs on CO4U premises. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL CO4U BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS THAT RESULT FROM OR ARE RELATED TO THE SALE, DISTRIBUTION, USE OF, OR INABILITY TO USE, ANY VEHICLE OR ITEM, EVEN IF CO4U HAS BEEN ADVISED OF THE DAMAGES.

REGISTRATION

• A. All buyers must be 18 years of age or older and meet all requirements imposed by the federal, state and local government laws and regulations. CO4U reserves the right, at its discretion, to deny or revoke participation for any individual or entity.
• B. Any individual or entity wishing to bid at CO4U, either in person or via the internet, must complete the buyer registration form, submit proof of identity (driver's license, state ID, passport, etc) and pay the $100.00 annual registration fee. Membership must be renewed annually by verifying accuracy of current buyer information on file and paying the appropriate registration fee.
• C. All current and prospective buyers must possess and provide copies to CO4U of all necessary and applicable licenses (salvage, rebuilders, dismantler or recycler, etc). Licenses that are annually renewable must be resubmitted every year to CO4U to ensure eligibility.
• D. Buyers are responsible for all transactions and account activity, including, without limitation, all bids placed by buyer and authorized bidders for buyer, either in writing, on a bid sheet, fax or email, or verbally to an CO4U authorized auction representative.
• E. CO4U at its sole discretion may allow guest admittance to its auctions to individuals 18 years of age or older. Guests must be accompanied by a registered buyer and purchase a guest pass valid for a one-time admittance. Guest passes must be displayed at all times. Guests are not allowed buying privileges, only registered buyers in good standing may bid on vehicles. Please confirm guest policy and fees prior to visit to auction.

BID PROCESS

• A. CO4U reserves the right to withdraw from auction any vehicle or item for any reason at any time at its sole and absolute discretion. CO4U reserves the right to reject any and all bids, and to negotiate with bidders at its discretion.
• B. CO4U utilizes an online increment bidding System. All bids tendered to CO4U must be inputted electronically into CO4U's website (CarsOnline4u.com). All access to CO4U website is subject to registration and approval by CO4U. Buyer will receive Online Bidding ID ("Login") and password ("Password"). Refer to CarsOnline4u.com for instructions and procedure. Buyer entering into this agreement identified on buyer registration is fully responsible for all bids placed with your Login and any and all charges, which may accrue to your account. Payment remains with you for all bids placed and accepted by you and your authorized bidders. You agree to immediately notify CO4U of any unauthorized use of your Login or any other potential breach of the bidding System. You agree to exit from the system at the end of each session to minimize the possibility of an unauthorized person using your Login. Your Login account cannot be transferred or assigned to any other person or entity.
• C. All bids, once submitted to CO4U, may not be retracted, deleted or cancelled. D. You acknowledge that CO4U reserves the right, at its sole discretion, to delete, disable or suspend your Login at any time for any reason including, but not limited to, non-payment or late payment of any money due CO4U, failure to claim vehicle, expired registration or license, criminal or non-business-like activity. You further acknowledge that CO4U reserves the right to change the System or the general business practices related to the System, at any time, temporarily or permanently, at its sole discretion, with or without notice.
• D. You acknowledge that CO4U reserves the right, at its sole discretion, to delete, disable or suspend your Login at any time for any reason including, but not limited to, non-payment or late payment of any money due CO4U, failure to claim vehicle, expired registration or license, criminal or non-business-like activity. You further acknowledge that CO4U reserves the right to change the System or the general business practices related to the System, at any time, temporarily or permanently, at its sole discretion, with or without notice.
• E. You agree that all bids placed in the System will be bound by the then-current policies, fees, terms, conditions and restrictions set forth by the CO4U site ("Facility") at which the vehicle is being sold.

FEES AND PAYMENT

• A. A buyer fee will be charged for each vehicle or item sold. Gate, storage, loading, relist, late and delivery fees will be charged to buyer, if applicable, per vehicle or item. It is the sole responsibility of the buyer to verify fees charged by CO4U prior to bidding and incurring such fees. All fees are subject to change without notice.
• B. Payment for any vehicle or item awarded is due within 3 working days (auction day plus 2 working days). Vehicles or items not paid for within this timeframe will each be subject to a late fee. Vehicles on automatic delivery may be COD, with CO4U approval prior to bidding. Payment for vehicles or items may be made by either cashier's check or money order. Acceptance of company checks must be approved by CO4U prior to bidding. CO4U requires a letter of guarantee from buyer's bank prior to being company check approved.
• C. In the event a vehicle or item is not paid for within the time specified by CO4U, Buyer agrees that CO4U may, in its sole and absolute discretion, cancel the sale, relist the vehicle or item for sale, and Buyer shall be responsible to pay a relist fee, plus any collection costs, including court costs and reasonable attorney's fees. Relist fees are $100.00 per vehicle or item plus the difference in the sale price (if less) of the vehicle or item once it is resold. Buyers causing excessive vehicles or items to be relisted are subject to suspension or revocation of their bidding privileges.

DELIVERY AND PICKUP

• A. All vehicles purchased at CO4U will be initially setup for automatic delivery, which is exempt from storage, gate and loading charges. CO4U will deliver all vehicles in a timely and efficient manner. Buyer is expected to accept delivery of vehicles during their normal hours of operation.
• B. When a delivery in progress cannot be completed, for whatever reason, buyer will be charged a dry run both ways. Buyer must accept delivery of vehicles when they are scheduled to avoid dry run charges.
• C. Buyers may pickup their own vehicles subject to prior approval from CO4U. Vehicles and fees must be paid before any vehicle is removed from the yard. Gate, loading and storage fees will apply to each vehicle if applicable.
• D. All vehicles must be picked up prior to 3 working days of the next week's auction. Any vehicle not picked up by buyer in this timeframe will we delivered by CO4U and will still be assessed all applicable gate and storage fees in addition to delivery charges.
• E. CO4U is NOT responsible for damage, missing items or a change in condition of the vehicle after it has been awarded. All vehicles awarded include their contents as presented.
• F. Multi-car carriers are subject to a per vehicle loading fee. CO4U is NOT responsible or liable for damage which may be incurred during loading of vehicles.
